GE Aerospace Acquires CPP for $11.75B in PE Exit Deal

Warburg Pincus and Berkshire Partners have agreed to sell Consolidated Precision Products to GE Aerospace for $11.75 billion. The transaction values CPP at approximately 18x expected 2027 EBITDA including projected synergies, or 26x without them. CPP, headquartered in Cleveland, Ohio, with about 6,600 employees across more than 20 facilities, has supplied GE Aerospace for over 15 years.

The deal will be financed with $7 billion in cash and the remainder in new debt. GE Aerospace plans to apply its Flight Deck operating system to expand CPP’s capacity and accelerate new engine technologies. The transaction is expected to close in the second half of 2027.

Morgan Stanley and Guggenheim Securities served as financial advisors to CPP, while Evercore and PJT Partners advised GE Aerospace. Cleary Gottlieb and Paul Weiss Rifkind Wharton & Garrison served as legal counsel respectively.
