Sysco's $1B Share Sale for Jetro Deal

Sysco Corp. is seeking to raise $1 billion in a share sale to partially fund its $29.1 billion acquisition of Jetro Restaurant Depot LLC.

The Houston-based firm's share sale is led by Goldman Sachs Group Inc. and Toronto-Dominion Bank. Shares are offered at $80.20 to $81.90 each, a discount of up to 4% to Monday's close of $83.54.

Sysco supplies food to restaurants, hospitals and schools across the US. Its shares traded flat after-hours, giving it a market value of nearly $40 billion. The deal is oversubscribed following an earlier confidential marketing effort, said people familiar with the matter. The offering is expected to price later Monday.

Bank of America Corp., JPMorgan Chase & Co. and Wells Fargo & Co. are also working on the share offering.
