Private Equity Dealmaking & Sector Focus

Private equity firms are actively pursuing strategic add-ons across various sectors, with deal valuations remaining elevated in specialized markets, while major players secure industry recognition. Nordic Capital is acquiring a majority stake in the trade surveillance business Trading Hub, ensuring existing investor Summit Partners retains a minority holding. Elsewhere in specialized manufacturing, PE-backed Technimark purchased Rage Custom Plastics, bolstering its capabilities in highly engineered injection-molded components for industrial and medical applications. Meanwhile, the residential HVAC service sector continues to command premium multiples, with recent platform deals fetching valuations between 16x and 19x EBITDA, compared to the commercial segment’s range of 10x to 17x EBITDA.

In other transaction news, Oaktree-backed Aecon Utilities completed the acquisition of Duna Services along with a stake in KNX Utility Services for a purchase price of $60 million, potentially including contingent proceeds. Further consolidation occurred in the media space as Capstone Point Holdings scooped up the entertainment media unit from Orix-backed Optimal, which will operate under the legacy name Optimad Media. Infrastructure saw activity as well, with Blue Wolf-backed Logistec snapping up Travero’s Logistics Park Dubuque to expand its marine terminal and logistics footprint across North America.

European activity saw the specialized payroll provider Zalaris targeted by two separate bids, with Norvestor launching a $226 million offer, which was reported to be more acceptable to sellers due to lower execution risk compared to other defense-related deals. This bid ultimately secured the company for an agreement valued at approximately NKr2.2 billion ($225 as Norvestor moved to take the Oslo-listed firm private. In asset management, Bain Capital agreed to purchase the wealth management division of Australian financial services firm Perpetual in a transaction valued at $350 million.

AI Ventures & Investor Sentiment

The race for access to leading artificial intelligence technology is drawing major private equity interest, signaling high expectations for enterprise AI monetization. OpenAI is reportedly in advanced discussions with a consortium including TPG, Bain, Brookfield, and Advent regarding the formation of a new enterprise AI venture potentially valued at $10 billion. Investor appetite for specialized funds remains strong, as evidenced by I Squared Capital approaching $10 billion in total commitments for its forthcoming flagship infrastructure fund. Furthermore, Triton noted its €5.5 billion fundraise is a strong beneficiary of Europe's growing autonomy agenda, focusing on opportunities at the nexus of energy and sovereignty goals.

Meanwhile, investors continue to explore secondary markets for liquidity and stable returns, with Canada Pension Plan Investment Board exploring the divestiture of approximately $1.5 billion worth of Asia-focused private equity fund stakes. In the startup ecosystem, Antonio Gracias advocated for "proentropic" startups—those designed inherently to manage chaos—as the next wave of viable technology investments, contrasting with the recent focus on rapid, often fragile growth.

Industry Awards & Talent Moves

The industry recently recognized top transactions from the past year, with a landmark IPO receiving the highest honor. Blackstone, Carlyle, and Hellman & Friedman shared the top award for their role in Medline’s $7.2 billion initial public offering. Other deal awards included Kinderhook Industries winning the Mid-Cap North America Deal of the Year for the sale of VAI to Real Truck, while JC Flowers secured the Small-Cap Europe award for the sale of HRK Lunis to Seven2. In North America small-cap deals, HIG took the prize for selling Koozie Group to Mill Point’s portfolio company, Garyline.

Talent acquisition and strategic positioning remain key priorities following the awards season. Fortress hired Elizabeth Burton as its new chief strategist, positioning her in New York to report directly to co-CEOs Drew McKnight and Jack Neumark. Separately, Quad-C appointed Dillard Watt as business development director to focus on sourcing new platform investments and add-on acquisitions for the firm’s investment teams. In contrast to M&A growth, total deal value for small and mid-sized purchases (between $100 million and $300 remains well below the peaks seen in 2021, although these transactions still contribute a meaningful collective sum.
