Aurelius to Buy Hain Celestial's International Business for $323m

Aurelius has agreed to acquire Hain Celestial's International business for an estimated $323 million in cash. The business includes brands such as Ella's Kitchen, Joya, Natumi, Hartley's, Linda McCartney, Cully & Sully, Yorkshire Provender and New Covent Garden.

Net proceeds from the sale are expected to range from $305 million to $310 million and will be used to reduce Hain's debt. Hain Celestial is headquartered in Hoboken, New Jersey.

The deal is part of Hain's strategic review. Following the sale, Hain's North American business will retain brands including Celestial Seasonings, The Greek Gods, Earth's Best Organic, Spectrum Organic, Mara Natha and Imagine.

The transaction is conditioned on Hain securing an amendment to extend its credit agreement's maturity date beyond December 22, 2026. Hain expects about $16 million in annualized cost savings. The agreement has been unanimously approved by Hain's board and is subject to regulatory approvals. The deal is expected to close in Hain's fiscal second quarter ending December 31, 2026. Goldman Sachs is financial advisor to Hain, with DLA Piper's London team as legal counsel.
