Carve-Out Deals Surge in Consumer Sector

Corporate carve-out activity in the consumer sector is accelerating, with PE firms like Aurelius, Yellow Wood Partners, and Saothair Capital Partners executing recent deals. In September, Aurelius agreed to acquire Hain Celestial's international business for an estimated $323 million in cash, including brands such as Ella's Kitchen, Joya, and Linda McCartney Foods. Yellow Wood Partners acquired Holistic Health from Nestlé for $1 billion, with closure expected in the first half of 2027. Saothair Capital Partners completed the acquisition of CCR American Holdings, rebranding it as North American Breweries.

Matt Leeds, founder and managing partner at Forward Consumer Partners, noted that the consumer sector is particularly ripe for carve-outs due to large portfolios owned by scaled strategics. This creates a structural supply of opportunities as smaller or underperforming brands become available for divestiture.

Additionally, Antin Infrastructure Partners agreed to sell a majority stake in Vicinity Energy to Harrison Street Asset Management through its Flagship Fund IV, valuing the company at $2.9 billion. Bain Capital Tech Opportunities also made a minority growth investment in Kahua at a valuation above $1 billion.

According to DC Advisory, 1,025 global carve-outs and spin-offs were announced in the first four months of 2026, marking an 18 percent year-over-year increase and the strongest start to the market in five years.
