Ardian Lends to Arche MC2 as Montefiore, Activa Take Joint Control

Ardian has arranged a new unitranche financing for Arche MC2, backing a shareholding reorganisation that will see Montefiore Investment and Activa jointly control the French software publisher.

The incoming management team will reinvest significantly alongside the two sponsors. Ardian first financed Arche MC2 in July 2024, and it is now underwriting the change of ownership.

This allows Ardian to preserve a performing asset, avoid redeployment risk, and rest on two years of visibility into the borrower’s numbers that a new lender would have to build from diligence alone.

Grégory Pernot, Co-Head of Private Credit France at Ardian, said the group’s resilience and strategy are proven, and the new financing will enable further development, both organically and through acquisitions.

The package includes a sizeable acquisition facility designed to fund the group’s buy‑and‑build strategy, a standard requirement for sponsors buying platforms in fragmented software markets, removing the need to return to the market for each bolt‑on.

Since the original financing, Arche MC2 has combined organic growth with targeted acquisitions, and the facility follows a pattern the lender has already watched work.
