Trilantic North America has agreed to sell SOFIE Biosciences to GE Health Care for $945 million in cash. SOFIE Biosciences operates 15 contract manufacturing sites across the US with 21 cyclotrons, along with a theranostics-focused contract development and manufacturing site. The company will continue to operate as an independent manufacturing partner to its customers after the deal closes, including supplying products from other radiopharmaceutical providers.
The acquisition gives GE Health Care US rights to FAPI-74, SOFIE Biosciences’ Phase III F18 fibroblast activation protein inhibitor asset. GE Health Care already holds the rights outside the US. GE Health Care expects SOFIE Biosciences to grow in the low double digits as part of the company.
It also estimates the deal will be accretive to revenue growth, adjusted EBIT margin and adjusted earnings per share in the first full year of ownership. Trilantic North America is a growth-focused middle-market private equity firm that has raised $11.6 billion across seven fund families. The deal is expected to close in the first half of 2027, subject to regulatory approvals, at which point SOFIE Biosciences will become part of GE Health Care’s Pharmaceutical Diagnostics segment.
