AURELIUS Acquires Hain International in €280m Carve-Out

AURELIUS has agreed to acquire Hain International, the UK and European arm of Nasdaq-listed The Hain Celestial Group, in a cross-border carve-out with an enterprise value of over €280m.

AURELIUS specialises in operationally complex situations, carve-outs, platform build-ups, and succession deals. "Following acquisitions from Xylem and Grainger last year, Hain International is our latest European carve-out from a US-listed group," said Tristan Nagler, partner at AURELIUS and head of its London office. The deal creates momentum for the firm's newest fund. "This the fourth carve-out we signed for Fund V since it closed last year," said Andrzej Cebrat, managing director at AURELIUS Funds IV and V.

Hain International operates across six categories in the healthy and better-for-you segment, spanning baby and kids food under Ella's Kitchen, spreads and jellies including Hartley's, Sun-Pat, and Robertson's, soups under New Covent Garden Soup Co and Cully & Sully, non-dairy beverages such as Joya and Lima, the Linda Mc Cartney meat-free range, and desserts. The business runs seven manufacturing facilities across the UK, Germany, and Austria, employs around 1,500 people, and generates annual sales of about €600m.

The value-creation plan leans on AURELIUS's in-house operational muscle. Supported by AURELIUS Water Rise, Hain International is expected to build on its market positions, accelerate product innovation, expand its private-label partnerships, and drive efficiencies. The transaction is expected to close by the end of 2026, subject to closing conditions including regulatory approvals and an amendment to Hain Celestial's credit agreement.
