Williams Companies has agreed to acquire Momentum Midstream from En Cap Flatrock Midstream for up to $5.5 billion. The deal comprises $3.5 billion in cash and debt, and approximately $2.0 billion in Williams equity.

Momentum operates an extensive natural gas system across the Gulf Coast, featuring over 4,000 miles of pipelines. These assets serve regions in east Texas and the Gillis Hub in Louisiana, with a capacity of 6 billion cubic feet per day.

The company supports over 140 customers, including industrial firms, power plants, city gates, and LNG facilities. Momentum's CEO, Frank Tsuru, stated the sale reflects the growing demand for U.S. hydrocarbons and the critical role of assets like Momentum's in meeting this need.
