Midland Industries adds HVAC distributor TSI in Gemspring-backed deal

Midland Industries, a Kansas City‑based maker of fittings, valves, hose and clamps, announced the purchase of Trading Services International, a New York‑focused HVAC component distributor. The move broadens Midland’s catalog and brings the acquired firm under the private‑equity umbrella of Gemspring Capital.

TSI, founded in 1988 and run by CEO Joel Darr, contributes three decades of distribution know‑how and a solid client base in commercial and residential HVAC projects. Midland’s manufacturing strength in valves and hose assemblies should create cross‑selling opportunities and supply‑chain efficiencies, extending its reach from the Midwest to the East Coast.

Deal terms were not disclosed, indicating a strategic bolt‑on rather than a large cash outlay. Integrating TSI’s network lets Midland offer a fuller product line to existing customers and win new HVAC contracts, tightening its grip on a fragmented market.

The transaction dovetails with Gemspring Capital’s playbook of scaling platform companies in industrial distribution. With an expanded catalog covering everything from basic clamps to advanced valve assemblies, Midland can negotiate better supplier pricing and lift margins on integrated projects.
