Esperion Buys Corstasis for $75M in Biopharma Deal

Private equity-backed Esperion has agreed to acquire Corstasis for an upfront payment of $75 million, with Corstasis shareholders eligible for up to an additional $180 million in milestone payments. The deal targets Corstasis's FDA-approved nasal spray diuretic Enbumyst, which treats edema associated with cardiovascular and renal disease. Esperion, backed by Athyrium Capital Management and HealthCare Royalty, focuses on cardiometabolic and rare disease therapies.

Corstasis developed Enbumyst, which received FDA approval in September 2025 as a treatment for edema in adults with congestive heart failure and hepatic and renal disease. The nasal spray represents a novel delivery method for diuretic therapy, addressing a clear unmet need in the cardiology community. Ben Esque, CEO of Corstasis Therapeutics, stated that the acquisition validates their team's vision and approach to developing innovative treatments.

The transaction is expected to close in the second quarter of 2026, with Jefferies LLC serving as exclusive financial advisor to Esperion and PJT Partners advising Corstasis. This acquisition expands Esperion's portfolio in cardiovascular disease treatment while providing Corstasis shareholders with both immediate and potential future value based on Enbumyst's commercial success.
