ArchiMed Acquires Esperion Therapeutics for $1.1B

ArchiMed has completed its $1.1 billion take-private acquisition of Esperion Therapeutics, an Ann Arbor, Michigan-based biopharmaceutical company focused on bringing cardiometabolic and rare/orphan disease therapies to market. The transaction includes contingent milestone payments of up to $100 million in the aggregate for shareholders, tied to future net sales performance.

Founded in 2008, Esperion Therapeutics operates as a commercial-stage biopharma company under the leadership of CEO Sheldon Koenig. The firm specializes in developing and commercializing oral, once-daily, non-statin therapies for patients with elevated low-density lipoprotein cholesterol (LDL-C) and other cardiometabolic conditions.

The take-private deal reflects continued private equity interest in specialized biopharmaceutical assets with established commercial infrastructure. ArchiMed, a European healthcare-focused investment firm, gains a platform with approved products and a pipeline targeting underserved patient populations in lipid management and rare diseases.

Shareholders will retain participation rights through the milestone structure, aligning incentives with the company's future commercial success. The acquisition positions Esperion to pursue its development strategy without public market pressures while leveraging ArchiMed's operational expertise and capital resources.
