Frasers Group has raised its stake in Hugo Boss to 48 % following the closure of the voluntary public takeover offer. The British retailer, founded by Mike Ashley, secured acceptances for 12.2 million Hugo Boss shares—about 17.62 % of the German company—bringing its total direct holding to 33.05 million shares, or 47.89 % of the vote‑eligible shares.

In June, Frasers launched an offer to acquire the remaining stake. Score: 1.93 billion euros (≈$2.24 billion). The offer was aimed at completing a 100 % ownership of the premium fashion brand. Despite the aggressive bid, Hugo Boss said it would maintain a constructive relationship with its largest shareholder and remain committed to its long‑term strategy.

The move signals Frasers’ intention to exert greater influence over Hugo Boss’s board and operations. A 48 % stake grants the group significant voting power, potentially shaping decisions on product lines, expansion, and governance. However, the German company will still retain a substantial minority of shares, preserving a degree of independence for its management.
