AbbVie announced a cash purchase of Apogee Therapeutics valued at $10.9 billion. The offer of $135.11 per share represents a 49% premium to Apogee’s closing price of $90.38 on Thursday. The deal, one of the year’s largest biotech transactions, adds a promising asset to AbbVie’s immunology platform and expands its footprint in skin‑ disease therapy.

Apogee brings forward its experimental molecule zumilokibart, designed for moderate to severe atopic dermatitis, the most common form of eczema. If approved, the drug would sit alongside AbbVie’s own Dupixent and challenge Regeneron‑Sanofi’s rival. Adding zumilokibart strengthens AbbVie’s pipeline at a time when biologics dominate the dermatology market.

Investors see the premium as a bet on long‑term revenue growth from skin‑care biologics, which generated roughly $5 billion in sales for AbbVie last year. The cash‑only structure leaves Apogee shareholders with immediate value, while AbbVie must fund the deal from its strong balance sheet. The transaction underscores the sector’s drive toward consolidating niche assets into larger portfolios.

Following the announcement, AbbVie’s shares rose about 2%, reflecting confidence that the acquisition will boost earnings per share once zumilokibart reaches market.
