Paramount Delays Warner Bros. Discovery Deal to 2027

Paramount has agreed to delay its takeover of Warner Bros. Discovery for months, potentially until June 2027, due to pending lawsuits. The company filed a court document stating it will not complete the merger until an antitrust trial concludes or the June 2027 deadline, whichever occurs first. This agreement cancels an August 3 hearing on a preliminary injunction request.

This delay significantly alters Paramount's initial plan to gain control of Warner Bros. Discovery by the end of September. The decision stems from discussions among the legal teams representing all parties involved. A Paramount spokesperson expressed optimism, calling the agreement a "significant win" that provides a "direct path to a trial based on the evidence."

The delay could be costly, as Paramount is set to owe Warner Bros. Discovery shareholders a daily "ticking fee" of 25 cents per share for each day the transaction remains incomplete after September 30.
