EU Approves Paramount/Warner Bros. Deal with Conditions

European Commission regulators have greenlit Paramount's acquisition of Warner Bros. Discovery in Europe, contingent on Paramount ending its distribution partnership with Universal. This decision addresses concerns that the combined entity, particularly through the joint distribution company Universal International Pictures (UIP), could stifle fair market competition.

Regulators found that Warner's films being distributed via UIP, alongside Paramount's existing involvement, could lead to unfavorable terms for cinema operators and consumers. To satisfy the EU's conditions, Paramount must exit its joint distribution business within 13 months of the deal's closure and refrain from co-distributing films with Universal for ten years.

While the EU approval is a significant step, Paramount still faces hurdles. UK regulators are scrutinizing the deal, and in the US, 12 states have filed a lawsuit to block the acquisition, which temporarily paused the merger. A hearing is scheduled for August 3 to determine the future of this legal challenge. The prolonged merger process could incur additional costs for Paramount, with daily penalties potentially around $7 million if not closed by the end of September.
