EquipmentShare.com has filed for a U.S. initial public offering aiming to raise up to $777.75 million. The construction technology provider plans to sell 30.5 million shares of Class A common stock priced between $23.50 and $25.50 per share. The company has applied to list on the Nasdaq Global Select Market under the ticker symbol EQPT.

Goldman Sachs, Wells Fargo Securities, and UBS Investment Bank are leading the offering, with Citigroup and Guggenheim Securities serving as joint book-runners. Selling shareholders will grant underwriters a 30-day option to purchase up to an additional 4.575 million shares to cover over-allotments. Founded in 2015 and headquartered in Columbia, Missouri, EquipmentShare has grown into one of the largest equipment rental providers in the United States.

The company currently operates 373 locations across 45 states as of 2025. Its proprietary T3 technology platform offers fleet management, telematics devices, and an equipment rental marketplace designed to boost productivity in the construction sector. The IPO comes as construction technology companies seek capital to expand their digital platforms and physical footprints in a fragmented rental market.
