Bernstein downgraded Confluent to Market-Perform after IBM agreed to acquire the data streaming company for $11 billion in an all-cash deal at $31 per share. The broker said the offer matched its pre-deal price target, which already included a takeover premium, leaving limited upside for shareholders now that the transaction is announced.

Bernstein noted the acquisition makes strategic sense for IBM, while the valuation looks fair for Confluent. It described Confluent as a neutral, independent provider in the cloud-native ecosystem, a position that aligns with IBM’s Red Hat strategy. The broker also cited manageable regulatory risk due to limited product overlap.

The broker waited weeks to assess counterbid risk but saw no rival offers emerge. It argued a hyperscaler takeover would have undermined Confluent’s neutrality, while private equity interest appeared low given the valuation. With shares trading near the offer price, Bernstein sees the risk-reward profile supporting its Market-Perform rating.
