Yesway Convenience Stores Files $300M IPO Amid Fuel Price Surge

Yesway Inc., a convenience store and gas station operator backed by Brookwood Financial Partners, filed for an initial public offering seeking to raise approximately $300 million. The Fort Worth-based company, which focuses on rural communities in the Midwest and Southwest, reported $54 million in net income on $2.7 billion in revenue for 2025, up from $24 million on $2.5 billion a year earlier.

This marks Yesway's second attempt at going public after withdrawing a 2021 filing when rising interest rates cooled the IPO market. The company acquired Allsup's in 2019, known for its burritos, though deal terms weren't disclosed. Morgan Stanley, JPMorgan Chase, and Goldman Sachs are leading the offering, with shares expected to trade on the Nasdaq under the symbol YSWY.

Yesway acknowledged in its filing that fuel prices have "already increased substantially" due to the war in Iran, warning that continued price volatility could hurt its customers. The company faces significant exposure to fuel price fluctuations, a critical concern as oil prices remain volatile. This IPO comes at a challenging time for retail operators balancing rising costs with consumer spending pressures.
