Tokyo Court Rules Shidax Tender Undervalued Shares

The Tokyo District Court ruled that hospitality sector company Shidax Corp.’s tender offer in 2023 to go private undervalued its shares, marking one of the still-rare cases in Japan where financial disputes between companies are resolved by legal authorities.

The court examined the terms of the tender offer and concluded that the price offered to shareholders did not reflect the fair market value of Shidax Corp.’s equity. Judges noted that the undervaluation was evident when compared with comparable transactions and the company’s financial performance at the time.

Legal experts say the decision underscores a growing willingness of Japanese courts to intervene in corporate go‑private deals when they suspect unfair pricing. While such rulings remain uncommon, the Shidax case may signal increased scrutiny of tender offers in the hospitality sector and beyond.

The ruling could affect future M&A activity in Japan, prompting firms to offer higher premiums to avoid judicial challenges. Shareholders of Shidax Corp. may now have grounds to seek compensation or a revised offer, depending on any appeals process.
