ContextLogic Acquires gChem from EagleTree for $850M

ContextLogic, backed by BC Partners and Abrams Capital, is acquiring gChem, a specialty chemicals manufacturer, from EagleTree Capital for $850 million in enterprise value. This will mark gChem’s integration as ContextLogic’s second operating business, following its 2026 acquisition of US Salt. EagleTree, which held gChem for nearly eight years, supported its expansion into dinitrogen tetroxide (NTO) production, a key component for DMSO manufacturing. gChem produces dimethyl sulfide (DMS), dimethyl sulfoxide (DMSO), and Procipient, used in pharmaceuticals, semiconductors, and aerospace. Morgan Stanley advised gChem on the sale, while Piper Sandler represented ContextLogic. The deal, expected to close by late 2026, requires regulatory approvals and other conditions. Frank Roederer will continue leading gChem post-acquisition.
