Warburg Pincus Rejected Again by Ingenia Over Peet Deal

Warburg Pincus has been rebuffed for a second time by Ingenia Communities Group, which rejected the private equity firm's revised A$5.05 per stapled security cash offer valuing the company at over A$2bn equity. The Australian Securities Exchange filing shows the bid represented a 6.3% increase from the initial A$4.75 approach on 5 September, which was rejected two days later. Warburg's proposal required Ingenia to abandon its agreed acquisition of Peet, the Perth-based residential developer, but Ingenia's board concluded the offer was not in securityholders' best interests.

Chair Shane Gannon and chief executive John Carfi view the Peet deal as central to growth strategy, creating a platform with a 15,000-lot land lease pipeline and 35,000-lot residential pipeline. Warburg Pincus expressed disappointment at Ingenia's refusal to engage further. Ingenia reported FY26 statutory profit up 45% to A$186.4m and underlying profit up 16% to A$145.8m, settling 573 new homes, a 10% increase.

Securities traded at A$4.19-A$4.32 post-announcement, well below the offer price.
