New York State Comptroller Thomas DiNapoli urged shareholders to reject eXp Realty’s plan to reincorporate in Texas, arguing the move would let the broker dodge accountability for alleged sexual assaults. The call follows lawsuits accusing two top agents of drugging and raping women at company events, claims detailed in a 2023 Times investigation.

Three suits—two filed in California in 2023 and one in Florida in 2025—assert the firm ignored warnings about the agents, who generated millions in revenue. Pension funds representing New York’s Common Retirement Fund hold roughly 27,000 shares of the parent company, while more than 300 investors collectively own about 160 million shares, giving the state leverage to pressure board changes at the upcoming April 24 vote.

eXp’s vice‑president of communications, Noor Marzook, said the Texas relocation had been under consideration for over a year and was driven by “long‑term operational and governance interests,” not legal pressure. She affirmed the accused agents are no longer with the firm and that an external review found no evidence senior leadership knew of the misconduct. Investors must decide to keep pressure on broker or sell.
