ExxonMobil is seeking to redomicile its incorporation from New Jersey to Texas, a move it says will provide more favorable legal conditions as it battles investor litigation. The oil giant will ask shareholders this year to approve severing its near 150-year association with New Jersey, arguing Texas officials and juries are more familiar with its complex operations.

This follows a broader corporate migration from states like Delaware and New Jersey to Texas. Elon Musk moved Tesla and SpaceX there in 2024, and Coinbase recently reincorporated in Texas as well. The state has actively courted businesses by creating a dedicated business court and tightening corporate laws to make shareholder lawsuits more difficult.

The shift occurs as Exxon defends a federal class action lawsuit alleging its automated proxy voting system infringes on shareholder rights. Legal experts note Texas prioritizes managerial flexibility over investor protections, a trade-off companies increasingly accept to mitigate litigation risks. The trend highlights a strategic re-evaluation of corporate domicile based on perceived legal advantages.
