Aedifica Takes Control of Cofinimmo in REIT Merger

Aedifica has secured 79.57% of Belgian REIT Cofinimmo after shareholders tendered 30.3 million shares during the exchange offer period that ran from January 30 to March 2. The transaction meets threshold conditions for a merger between the two companies. Cofinimmo shares dipped on the news as investors assessed the implications of the consolidation in the European healthcare real estate sector.

Settlement occurs on March 10 when Aedifica will issue 35.9 million new shares to Cofinimmo shareholders who accepted the offer. These shares carry dividend rights for the 2025 financial year, with dividends expected from May 19 following Aedifica's annual general meeting. The strong participation rate eliminates the need for Aedifica to reopen the exchange offer.

The merger, originally agreed in June 2025, aims to create Europe's leading healthcare-focused REIT with expanded geographic reach. Aedifica currently manages over 615 assets across seven European countries including Belgium, Germany, Netherlands, UK, Finland, Ireland and Spain. The combination creates substantial scale in the specialized healthcare property market.
