Nelson Peltz’s investment firm Trian Fund Management has offered to buy US fast-food chain Wendy’s for approximately $3.8bn including debt. The take-private bid, disclosed in a regulatory filing, values Wendy’s at $7.35 per share, representing a 20 per cent premium over its previous closing price. Trian, already Wendy’s largest shareholder with a 16 per cent stake, has secured backing from major franchisee Flynn Group, alongside investment firms Blue Five Capital and Sixth Street Partners.

Wendy’s shares surged over 15 per cent in early trading following the announcement, though they remain down 26.3 per cent for the year. The company has faced declining sales and rising operational costs, recently falling behind Burger King in US burger rankings. Robert Wright, Wendy’s former COO, returned as CEO in May to lead a turnaround effort.

Trian’s involvement with Wendy’s dates back to 2005, and the firm has been exploring a take-private move since February. The Peltz family also holds a minority stake in a franchise ownership group operating 87 Wendy’s locations in New York.
