Toyota's largest supplier, Denso, has launched an $8.2 billion takeover bid for Japanese chipmaker Rohm, valuing the company at ¥1.3tn. The proposal represents an 18% premium to Rohm's current share price as Denso seeks to develop advanced semiconductors crucial for electric vehicles and autonomous driving systems.

The move aligns with Japan's long-term strategy to consolidate its power semiconductor sector amid growing competition from Chinese rivals. Denso executives have expressed particular concern about Chinese suppliers like YMTC gaining ground in next-generation silicon carbide chips and systems on a chip (SoC) technologies for EVs and autonomous driving.

Japan's power semiconductor companies possess advanced technology but struggle with scale, unlike their Chinese competitors. The government has offered substantial subsidies to encourage industry consolidation, with Denso already forming a venture with Fuji Electric in 2024. Industry analysts suggest combining multiple mid-sized Japanese players could create the scale needed to compete effectively on cost and achieve stronger pricing power.
