KKR Bids $9bn for UGI in Data Centre Power Play

KKR has offered to acquire UGI, the US natural gas and electricity distributor, for $9bn, according to the Wall Street Journal. The stock closed at $35.09 on Monday, giving UGI a market value of around $7.53bn, with the offer representing a premium of roughly 21% based on Reuters calculations.

KKR has been among the most active sponsors deploying into energy and infrastructure, and a UGI acquisition would extend its push into US utility distribution. Surging power demand from AI data centres and new factories has spurred investor interest in gas and electricity providers, putting reliable supply such as natural gas in sharper focus.

UGI would also bring a broader collection of energy assets. Beyond its core gas and electricity distribution, the company owns propane retailer AmeriGas, along with gas distribution pipelines and storage facilities. Distributors with durable earnings have become attractive candidates for take-privates, allowing sponsors to invest in grid, network, and storage upgrades.

Whether KKR's approach converts into an agreed transaction remains to be seen. The premium on offer will frame the board's response, but the market's reaction signals investor confidence that a deal could proceed.
