KKR to Acquire Integer in $5.7bn Medical Device Deal

KKR has agreed to acquire Integer Holdings in an all-cash transaction valuing the NYSE-listed company at approximately $5.7bn.

Under the terms of the agreement, Integer stockholders will receive $127 per share, representing a 51.8% premium to the company's closing share price on 29 April, the day before Integer disclosed the launch of its strategic review, and a 28.8% premium to the 30-day volume-weighted average as of 31 July.

The deal is expected to close by year-end, subject to shareholder and regulatory approvals, and is not subject to any financing contingency.

KKR has spent recent years building conviction around medical device manufacturing outsourcing, a segment underpinned by the structural shift of large OEMs offloading component and subassembly production to specialist partners with regulatory expertise and global scale.
