Clearlake Capital Acquires Full Control of Chelsea FC

Clearlake Capital Group has agreed to acquire Todd Boehly's ownership stake in Chelsea Football Club, along with Mark Walter's interest, to gain full control of the club. Hansjörg Wyss will remain a stakeholder and partner in the ownership group. Boehly and Clearlake joined together in 2022 to lead Chelsea's acquisition, with Boehly serving as chairman during the partnership. Under joint ownership, the group invested across Chelsea's men's and women's senior and youth squads, its Cobham training facilities, medical and player-support resources, and academy development. Boehly now steps down as chairman; Clearlake has been the club's majority owner since 2022.

"Todd has been an important partner throughout our ownership of Chelsea, and we thank him for his time and contribution as chairman," said Behdad Eghbali and José E. Feliciano, co-founders of Clearlake Capital. "As we move to full control, our focus is to continue investing in the Club's infrastructure, sporting performance, player development and delivering long-term success for Chelsea and its supporters."

There will be no changes to Chelsea's day-to-day operations, leadership or strategy, according to the announcement. Evercore is serving as lead financial advisor to Chelsea, with its team led by Simon Robey. The Raine Group, BDT & MSD Partners and Bof A Securities are advising Clearlake, with Sidley Austin serving as legal advisor to Clearlake and the club. Goldman Sachs is financial advisor and Latham & Watkins lead legal advisor to the sellers, with Winston Taylor providing additional advice to Walter. Macfarlanes is advising Wyss.
