Fox $22B Roku Deal Faces DOJ Review

Fox Corp.'s $22 billion bid for streaming platform Roku is under review by the Justice Department. On Tuesday, Sept. 8, the DOJ issued a "second request" for additional documents to both Fox and Roku, extending the waiting period under the Hart-Scott-Rodino antitrust act by 30 days. Fox still expects the acquisition to close in the first half of 2027, subject to regulatory clearance.

In June, Fox announced an agreement to buy Roku for $160 per share, combining about $14.2 billion in cash with the remainder in Fox Class A common stock. The deal would dramatically enhance Fox's streaming footprint, making the TV-centric company a major player in digital video advertising and premium subscription VOD distribution. Fox CEO Lachlan Murdoch stated the acquisition would transform the company into high-growth verticals and yield a step change in overall growth.

Fox said it is committed to operating Roku as an open, partner-friendly platform. Roku founder and CEO Anthony Wood will have an ongoing role at the combined company once the deal closes.
