GoPro will be acquired by Starman Optical, a privately held AI hardware manufacturer, in a cash deal valuing shareholders at $285 million ($1.14 per share), a 30 % premium. The merger, backed by both boards, will close by year‑end pending regulatory and stockholder approval. Founder and CEO Nicholas Woodman says the deal positions GoPro as a leading U.S. imaging and optical solutions provider for consumer, commercial, and defense markets.

Shares surged 43 % Monday after YouTuber Mark Fischbach (Markiplier) revealed an 8.5 % stake, then jumped another 80 % in pre‑market trading. Starman, part of New York‑based Starman Holdings, aims to bring critical optics production back to the United States. GoPro’s recent performance has been weak: Q2 revenue fell 31 % year‑over‑year to $105 million, with net losses up 210 % to $51 million.

The company remains publicly listed post‑deal.
