How BT’s TalkTalk swoop left broadband rivals fuming

🇬🇧 English

Five years ago, UK regulator Ofcom sought to end BT's broadband dominance by fostering competition among smaller providers, or "altnets." Over £31bn was raised, and rivals now serve nearly 20mn homes. But last week, Lisa Nandy, Secretary of State for Digital, Culture, Media and Sport, invoked emergency powers to approve BT's acquisition of TalkTalk's operations via pre-pack administration. The deal, which excludes TalkTalk's £1.5bn debt, adds 2.5mn customers to BT's portfolio. Nandy justified the move as necessary to prevent service disruptions posing a "genuine risk to life and public services," including hospitals and schools.

BT's biggest competitor, Virgin Media O2, expressed outrage, particularly after the Competition and Markets Authority signaled it might block a separate bid by Nexfibre to acquire Netomnia — a deal that would create an 8mn-home network. Virgin Media O2 CEO Lutz Schüler criticized the disparity, noting that a logical altnet merger faces scrutiny while BT's dominance-expanding move may proceed unchecked.

The conflicting decisions have unsettled investors and raised concerns about future consolidation in the sector. With many altnets facing cash crunches and losses exceeding £9bn in net debt, the lack of clear exit routes threatens the very competition Ofcom aimed to cultivate.
