GDA Luma Acquires Pat McGrath Labs for $30M in Chapter 11 Deal

GDA Luma Capital Management has secured court approval to inject up to $30 million into Pat McGrath Labs through a Chapter 11 recapitalization that grants the private equity firm controlling ownership of the beauty brand. The financing package includes up to $10 million in debtor-in-possession funding and a commitment of at least $20 million in post-emergence working capital.

The transaction represents a classic distressed-for-control strategy, with GDA Luma converting balance sheet stress into ownership upside by underwriting liquidity during insolvency proceedings. Upon emergence from bankruptcy, the firm will hold a controlling equity interest while founder Dame Pat McGrath retains a significant stake and continues as Chief Creative Officer. Paladin Management Group has been appointed Chief Restructuring Officer to oversee the process.

This deal highlights how even iconic consumer brands with strong brand equity can face capital structure challenges. For GDA Luma, the acquisition provides an opportunity to revitalize the business with fresh capital and tighter governance while maintaining founder continuity. The recapitalization also positions the company for renewed product momentum, with a pipeline of launches scheduled from Q1 2026 that could drive sustainable growth under new ownership.
