OCS to Acquire Mitie in £3.1bn Private Deal

CD&R-backed OCS has agreed to acquire London‑listed Mitie in a transaction that values the facilities‑management business at around £3.1bn. The offer represents a premium of approximately 46.8% to Mitie’s closing price on July 20, marking one of the largest private‑equity‑backed takeovers in the UK services sector this year.

Founded in 1987, Mitie employs about 84,000 staff across the United Kingdom and internationally, providing a broad range of facilities management, cleaning, security and professional services to corporate and public‑sector clients.

The proposed combination would create an organisation with greater scale, broader capabilities and an expanded international footprint, allowing the combined group to compete more effectively against rivals such as ISS, Sodexo and Compass Group. The deal also brings together OCS’s strong presence in continental Europe with Mitie’s UK‑centric client base, creating cross‑selling opportunities and cost synergies estimated at over £150 million annually.

Completion of the deal is subject to customary regulatory approvals and shareholder consent; if cleared, Mitie will be delisted from the London Stock Exchange and become a privately held entity owned by OCS and its sponsor, CD&R. Analysts expect the transaction to close in the first half of 2026, subject to no material adverse change.
