A consortium of private investment firms led by GTCR, with participation from Elliott Investment Management, has agreed to acquire CCC Intelligent Solutions in an all-cash take-private transaction with an enterprise value of approximately $6.1 billion. CCC stockholders will receive $7.75 in cash per share, a premium of approximately 44 percent to the company's unaffected closing price on July 9, 2026, the last trading day before media speculation about a potential sale, and about 59 percent to its 30-day average price as of that date. CCC's board approved the deal following a review of strategic options.

Chicago-based CCC connects more than 35,000 businesses, including insurers, repairers, automakers and parts suppliers. The company draws on 40 years of industry data and has embedded AI into claims and repair workflows for more than a decade. Githesh Ramamurthy is chairman and CEO.

GTCR plans to support continued investment in product innovation and AI capabilities and to expand the company's offerings, according to Mark Anderson, managing director and head of technology, media and telecommunications at GTCR. David Kerko, head of global private equity at Elliott, said CCC's position within its ecosystem creates strong data advantages and network benefits, making it a highly durable franchise in vertical software that AI will make more valuable.

The deal is expected to close in the first quarter of 2027, after which CCC will be privately held and delisted from Nasdaq. Morgan Stanley and Kirkland & Ellis advised CCC. JP Morgan is lead financial adviser to GTCR and lead arranger of the committed financing, with Citi also serving as financial adviser and participating in the financing.
