CommScope Faces $150M Lawsuit Over Debt Breach

A group of lenders has sued CommScope Holding Co. for at least $150 million, alleging the telecommunications provider breached a debt agreement following its January asset sale. The lenders claim CommScope failed to pay a required premium after selling substantially all of its assets to Amphenol Corp in the $10.5 billion transaction.

The lawsuit, filed Tuesday in New York state court, contends the divestiture of CommScope's broadband connectivity and cable unit triggered an event of default under governing debt terms. Such defaults typically require companies to pay lenders a premium as compensation for increased risk when significant portions of assets are sold off.

The legal action represents a significant financial challenge for CommScope, potentially straining the company's liquidity position. The case highlights growing tensions between companies and lenders amid aggressive asset sales in the telecommunications sector, with lenders increasingly scrutinizing transactions for compliance with debt covenants.
