AI Financial Corp Sells Canadian Unit for $12M

AI Financial Corp, closely tied to World Liberty Financial, has sold its Canadian unit ALT5 Sigma Canada to New York‑based Prime Delta for a $12 million secured promissory note. The deal includes $1 million due next week, the remainder paid over time, and about 11.6 million shares of Prime Delta stock. The SEC filing omitted a rationale for the transaction.

The sale follows a partnership formed in August 2025 between World Liberty Financial and ALT5 Sigma, in which the latter raised $750 million by issuing new shares and used $717 million to purchase World Liberty tokens, sending more than $500 million to the Trump family. AI Financial’s share price collapsed from above $9 on August 11, 2025 to roughly 44 cents on Friday, valuing the company at about $61 million.

Three weeks earlier, Perpetuals.com abandoned plans to buy ALT5 Sigma Canada, and the unit had previously sued Prime Delta over alleged data theft. The parties settled in December without admitting wrongdoing. The transaction underscores the volatility of fintech ties to political families and the rapid shifts in ownership that can follow.
