Schneider Electric's $22.6B AI Acquisition

Schneider Electric SE agreed to buy industrial software firm PT C Inc. for about $22.6 billion, its largest acquisition to date, to strengthen its AI-driven industrial software portfolio. The all-cash deal values PT C at $205 per share, a premium of over 40%, and is expected to close by Q3 2027. Schneider’s shares dropped up to 7.6% in early Paris trading despite being up nearly 30% year-to-date, while PT C’s shares are down about 17% over the same period.

The acquisition supports Schneider’s strategy to capitalize on AI-driven factory modernization and data center investments, areas where European firms like Siemens AG and ABB Ltd. are also active. Schneider previously acquired Cognite for $3.1 billion in June and Shelly Group SE for €1.2 billion last month. CEO Olivier Blum said the PT C deal will create “the industry’s most complete software and AI powerhouse,” while PT C CEO Neil Barua noted it will provide “substantial scale and resources to accelerate innovation.” The €22 billion cash consideration is financed via a bridge facility from Morgan Stanley and Société Générale, with up to €6 billion from equity and €17 billion from new debt.
